Bylaws

Article 1
Section 1: Principal Office.  The principal office of the association within the state of Georgia shall be in Macon, GA.


Article 2
Section 1: Officers. The officers of the association shall be elected by the members and shall be   president, vice-president, secretary, treasurer and parliamentarian.  The association may also elect or appoint one or more additional vice-presidents, one or more assistant secretaries and assistant treasurers and such other officers and agents as it shall determine from time to time advisable.  No officer may hold two or more offices.  The members at its monthly meeting shall elect the officers of the association annually.


Section 2: Tenure; Resignation; Removal. Each officer of the association shall hold office (President and secretary four years; vice-president, treasurer and parliamentarian three years) until his or her successor is elected or appointed or until his or her earlier displacement from office by resignation, removal or otherwise.  Any officer may resign by written notice to the association and may be removed for cause or without cause by the members.  If the office of any officer becomes vacant for any reason, any member approved by the remaining officers until a special meeting can be called to fill that vacant office may fill the vacancy.


Section 3: Compensation. Officers shall not receive, directly or indirectly, any salary or other compensation for their services, but, by resolution of the officers, reimbursement of expenses may be allowed to any advisor for expenditures reasonably incurred on behalf of activities for the benefit of the association.


Section 4: Authority and Duties.  All officers as between themselves shall have such authority and perform such duties in the management of the association as may be provided in the bylaws, or to the extent not so provided, as may be prescribed by the principal of Southwest High School.


Section 5: The President.  The president shall be the chief executive officer of the association.  He or she shall have general and active management of the business of the association.  He or she shall see to it that all resolutions and orders of the principal of Southwest High School are carried into effect, and, in connection therewith, he or she shall be authorized to delegate to the other officers of the association such of his or her powers and duties as president at such times and in such manner as he or she may deem to be advisable.  He or she shall be an ex officio member of all standing committees; and he or she shall preside at all meetings pertaining to Southwest High School Alumni Association business involving Southwest High School officials.


Section 6: The Vice President. The vice president or, if there be more than one, the vice presidents, shall assist the president in the management of the business of the association and the implementation of resolutions and orders of the principal of Southwest High School at such times and in such manner as the president deem  to be advisable.  The vice president, or if there be more than one, the vice presidents in the order of their seniority as indicated by their titles or in the absence of differing titles, in the order of their election, or as otherwise voted by the members, shall in the absence or disability of the president exercise the powers and perform the duties of the president, and he or she or they shall have such other powers and duties as the president may from time to time prescribe.


Section 7: The Treasurer.  The treasurer shall have the care and custody of the association funds and other valuable effects, including securities, and shall keep full and accurate accounts of receipts and disbursements in books belonging to the association and shall deposit all monies and other valuable effects in the name and to the credit of the association in such depositories as may be designated by the officers.   The treasurer may disburse the funds of the association as may be ordered by the officers of the association, taking proper vouchers for such disbursements, and shall render to the president and members, at meetings or whenever they may require it, and account of all his or her transactions as treasurer and of the financial condition of the association.  The treasurer shall perform such other duties as generally as incident to the office of treasurer and as may be prescribed by the president.


Section 8: The Secretary.  The secretary shall attend all meetings of the association and shall record the minutes of all proceedings taken at such meeting, and maintain all documents evidencing corporate actions taken by written consent of the officers, in a book to be kept for that purpose; and he or she shall perform like duties for any committees of the association when required.  The secretary shall see to it that all notices of special meetings of  the officers are duly given in accordance with these bylaws or as required by statute; the secretary shall be the custodian of the seal of the association, and when authorized by the officers, shall cause the association seal to be affixed to any document requiring it, and , when so affixed, attested by his or her signature as secretary or by the signature of an assistant secretary;  and the secretary shall perform such other duties as generally are incident to the office of secretary and as from time to time may be prescribed by the president.


Section 9: Members. The members of the association shall be of one of the following category: Life Long Member: Member that sign up on a one time basis within a twelve month period at the price set by the association. Regular Member: Member that sign up on a year to year basis.   Associate Member: Friend or relative of someone that attended Southwest High that signs up on a year to year basis.  Honorary Members: Any person having made a significant contribution to Southwest High School and not a Regular or Associate Member.


Section 10: Voting. Only Southwest High School Alumni Association members are eligible to vote.


Article 3
Section 1: Board of Advisors.  The Officers of the association may appoint from time to time any number of persons or advisors of the association to act either singly, as a committee or committees.


Section 2: Tenure and Authority. Each such advisor shall hold office during the pleasure of the officers and shall only have such authority or obligations as the officers of the association may from time to time determine.


Section 3: Compensation.  Advisors shall not receive, directly or indirectly, any salary or other compensation for their services, but, by resolution of the officers, reimbursement of expenses may be allowed to any advisor for expenditures reasonably incurred on behalf of activities for the benefit of the association.


Article 4
General Provisions
Section 1: Checks, Notes, etc. All checks or other orders for the payment of money and all notes or other instruments evidencing indebtedness of the association shall be signed on its behalf by such officer or officers or such other person or persons as the officers may from time to time designate.  All checks will require two signature (President, vice-president, secretary or treasurer).


Section 2: Fiscal Year. The fiscal year of the association shall be August 1st to July 31st, and may from time to time be changed by resolution of the officers of the association.


Section 3: Seal. The association seal shall have inscribed thereon the name of the association, the year of its organization and the words “Corporate Seal, Georgia”.  The seal may be used by causing it or a facsimile thereof to impressed or affixed or otherwise reproduced.


Article 5    
AMENDMENTS
These bylaws may be amended or repealed, in whole or in part, and new bylaws may be adopted by the officers.
